“Accountable Capitalism Act: Defining Corporate Responsibilities for Societal Benefits”  

The Accountable Capitalism Act proposes significant changes to the governance and operations of large U.S. corporations. It mandates that corporations exceeding $1 billion in gross receipts obtain a federal charter, subject to specific requirements. These requirements include a stated purpose of creating a general public benefit, consideration of stakeholder interests in decision-making by directors and officers, and limitations on executive compensation and political spending. The bill establishes an Office of United States Corporations to oversee these regulations and includes provisions for enforcement and charter revocation. Employee representation on corporate boards is also mandated.
