Preferred Deal Structure for the Passive Equity Co-Owner

There are many ways to structure a deal. A preferred method in our operation is to structure the single purpose LLC with multiple members.

This allows the unique Tax Benefits associated with owning multifamily to flow through the LLC to the members.

We don’t borrow money from our passive co-owner partners; instead, we offer them an opportunity to partner with us, collaborate, and receive cash flow, all associated tax benefits, and profit.

The Operating Team and Equity Partners are all members of the LLC and own the asset together.

Unless you want to be a lender vs. a passive owner, make sure you are in an equity position and own the asset. Otherwise, you’ll likely be getting paid interest only and will not enjoy the multitude of benefits that come with owning the building.
