David Niebauer has over 20 years of domestic and international corporate finance experience, with a particular focus on clean energy and environmental technologies. He has represented numerous companies in complex M&A and financing transactions and acts as General Counsel (including IP strategy, protection and licensing) for innovative cleantech companies, including Smart Wire Grid, Brillouin Energy Corp. and LumiGrow. David also serves on the Board of Directors of the New Energy Movement and is founder and Managing Director of Fusion Catalyst, a non-profit for the advancement of cold fusion. David built a highly successful legal practice as a Partner with Graham and James LLP (now Squire Sanders) where he specialized in Securities Law, Venture Capital Financing and Mergers and Acquisitions. He later joined DigitalVentures, Inc., a corporate venture capital firm, as General Counsel and Chief Operating Officer. David brings a wealth of experience, financing contacts and business acumen to his practice and has significant experience in renewable energy project development as well as all aspects of corporate finance and M&A transactions. David received his B.A. from the State University of New York, magna cum laude, his Masters degree from the University of Michigan and his J.D. from the Brooklyn Law School, where he was Articles Editor of the Journal of International Law.

The science of Low Energy Nuclear Reactions (LENR) has progressed significantly since the announcement of Fleischmann and Pons in 1989. Although successful experiments continue to be difficult to reproduce and control, commercial enterprises are in a race to develop working prototypes, and eventually to engineer reactors for the commercial market. We will review publicly available information on three such commercial enterprises: Brillouin Energy Corp. Leonardo Corp. (Andrea Rossi) and Defkalion Green Technologies. We will discuss recent announcements and developments of all three and explore likely go-to-market strategies. A critical barrier to any proposed commercial enterprise is attracting private financial support for R&D and commercialization efforts. We will review different approaches to funding efforts and some of the structural impediments. Finally, we will present a survey of the patent landscape in the United States. Patents, of course, provide a limited-time monopoly on useful inventions and are intended to incentivize investment in new technologies. How is the position of the U.S. Patent and Trademark Office relating to inventions in LENR inhibiting the development of the industry? What will it take for this to change? Once LENR patents do begin to issue, how will this affect the proliferation of the technology? Is open-source LENR likely or desirable? These and other topics will be discussed, with a focus on commercialization of LENR technologies.
