    How connected are Australia’s Boardrooms, really?

    In this episode of Off the Record, Lisa and Adam explore the invisible networks that exist between ASX-listed company Boardrooms and what those connections might mean for governance, influence and decision-making.

    Using a 2021 analysis of ASX 200 director networks as the starting point, they examine the behavioural dynamics that can emerge when Directors repeatedly sit alongside people within interconnected professional networks. From conflicts of interest and confidentiality to Directors’ duties, Board recruitment and appointments, information boundaries, independence and the clean use of power, they explore what can happen long before behaviour ever reaches a legal or regulatory threshold.

    Because relationships between Directors are not inherently problematic. Familiarity can create trust, confidence, psychological safety and enormously valuable experience. But relationships are not behaviourally neutral either.

    They can influence whose judgement carries weight, how rigorously people challenge one another, how information moves, who feels like a safe appointment and ultimately how independently Directors think before they are required to decide collectively.

    Lisa and Adam also consider a question that rarely appears on a conflicts register or in the minutes: how well do Boards really understand the wider professional networks surrounding their own Directors?

    Because the minutes may tell you what the Board decided.  They rarely tell you everything that shaped how it got there.
