The Clock is Running on Paramount's Biggest Deal

Listen Later

A temporary restraining order has slowed Paramount's proposed acquisition of Warner Bros. Discovery, but the real story isn't the delay itself.

It's the calendar.

If the merger remains tied up beyond September 30, Paramount could begin paying Warner Bros. Discovery shareholders a "ticking fee" worth roughly $7 million a day. That changes the financial incentives surrounding one of the biggest media mergers in decades.

In this episode of Archer's Line, I look at:

Why the judge's order changes the economics of the merger.

What happens at the August 3 hearing.

Whether Paramount fights, negotiates, or settles.

Why CNN keeps coming up as a possible divestiture.

How politics could influence what happens next.

I also mention the latest Archer & Feldman podcast with Los Angeles radio legend Bill Handel, where we discuss Paramount, iHeartMedia, media consolidation, layoffs, and the future of broadcasting.
