Jādara lietas, kurās saskati jēgu, neatkarīgi no līdzekļiem. Cilvēks ir iesviests šajā pasaulē.. gluži, kā the Doors dziedāja: “Into this world we're thrown like a dog without a bone..”.
Ar ko sākt meklēt to drošo pamatu? Ungars iesaka vairākas grāmatas:
· Breakdowns Are Good for You,
· The Reason for God: Belief in an Age of Skepticism, kā arī
Runājām arī par Ang Lī fantastisko filmu Life of Pi. Un varonis tad atbild - And so goes with God.
Mums jāatbrīvojas no Padomju domāšanas valgiem.

Porus Kaka is a tax world celebrity, a former president of IFA globally, now Honorary President, the 1st IFA president from Asia in it’s ~85 years’ history. Porus is a Senior Advocate (India) and a Barrister (England and Wales), a trustee at IBFD, completed his LL.M from Harvard Law School. His specialisation is TP litigation, direct and international tax. He is ranked by Chambers & Partners consistently as one of India’s leading Senior Tax Advocates and quoted as “The International Face of Indian Tax Practice”. Also the International Tax Review recognised Porus as one of India’s Leading Tax Counsels.
We need humour, but..
We started the chat about jokes that heavy tax topics need jokes now and then to keep the audience alive, but the difficulty now is that it’s dangerous to joke about more and more topics, especially if you are IFA president.
Strong role models
Porus father was an advocate so he new very early that he wants to be a tax lawyer as well. Also the senior Porus was lucky to be able to work for one of the leading individuals in India early on in his career. At the same time (1991/92) India opened up to the world, and it gave an opportunity to practice internationally.
Senior Advocate
It was interesting to learn that in India Senior Advocates are appointed by judges and they are supposed to say what is right even if it’s not in the best interests of the client. The Chambers of Porus Kaka - although it’s lead by a Senior Advocate, the junior advocates work independently on their own cases.
Ways to develop a tax litigation practice
Just like in the previous Tax Stories episode Pekka Puolakka told us, also Porus confirmed the same view that there are no shortcuts - a great volume of work is needed. Advocates also need to earn trust by judges that you are competent to be successful in the courts. Porus also learned from his father that at least ½ h a week one needs to spend reading aloud to develop the public speaking (diction) skills.
Transfer pricing
TP came to India in 2002 when everybody was thrown into a swimming pool and everyone dealing with TP learned how to swim in a relatively short time. This developed TP litigation practice where “one can find in India’s judicial orders perhaps at least one judgment on every troublesome issue under the sun”. Porus thinks that OECD TP Guidelines become more subjective and more favourable to the Revenue. He has also mentioned a ruling by an Australian court in 2020 that says that the Guidelines are sometimes “very highly generalised and… frustratingly opaque”. We discussed what’s behind those views.
Meeting Dalai Lama
Porus tried to meet Dalai Lama many times until one day the dream came true. Dalai Lama had such an aura that the whole day Porus after the meeting was just happy. They spoke about Porus and religion (Zoroastrians), and his customs. BTW, Dalai Lama has his Twitter account: @DalaiLama.
Vodafone tax case
Porus briefly expressed that Vodafone tax case might be an expensive (USD 2 bn, incl. USD 5.5 mil. in legal fees), but good lesson for India regarding retroactivity. Vodafone won an International arbitration tribunal in The Hague. In brief, India imposed a tax payment retroactively, but Vodafone successfully proved it was in breach of the investment protection treaty. In 2012, India’s top court ruled in favour of the telecom provider but the government changed the rules to enable it to tax deals that had already been concluded. To reduce future arbitration claims, India has ended such agreements with over 50 countries and is working on a new law (in 2020) to protect foreign investors by offering relief from possible policy changes even as it upholds the right to tax them.

In this Tax Stories episode I chat with Pekka who has spent more than 20 years with Sorainen law firm. After that he was the Managing Partner of EY Law Baltics for nearly 2 years. He has been my role-model and many others. I’d describe him more as an artist in his heart, a lawyer who speaks business language and a friend who understands people, knows how to pay attention & listen.
Making movies
We started the chat about Pekka’s hobby - making movies. In 2021 his movie was demonstrated in cinemas of Tallinn, which was a tribute to Charlie Chaplin’s the Kid, exactly 100 years after the original movie was released.
The Finland - Baltic common history
Pekka told a story about starting the law firm in Vilnius back in 1990s when a mafia type guy was working next doors. During summer time the windows were open and the lawyers could hear the guy giving orders to his subordinates. We also discussed the Finnish sauna tradition roots and the differences of Soviet occupation outcome after WWII - why the Baltics lost it’s independence, but the Finns didn’t. Despite the history Pekka sees the current Finnish investment regime fairly safe, so Finland joining NATO is more necessary for politicians that for businesses.
Lessons in life
Pekka’s father used to remind him that there are no shortcuts in life - those who work the most will succeed the most. For your book shelf Pekka recommends some nice titles as well:
21 Lessons for the 21st Century - by Yuval Noah Harari. The book promises to give answers to questions relevant to many, some of them we discuss in this podcast as well, like where we have come from and where we are going, how do computers and robots change the meaning of being human; how do we deal with the epidemic of fake news; are nations and religions still relevant; what should we teach our children? Here the author invites us to consider values, meaning, and personal engagement in a world full of noise and uncertainty.
Homo Deus: A Brief History of Tomorrow - also by the same Yuval Noah Harari. Homo Deus explores the projects, dreams and nightmares that will shape the twenty-first century—from overcoming death to creating artificial life. It asks the fundamental questions: Where do we go from here? And how will we protect this fragile world from our own destructive powers?
Humankind: A Hopeful History - by Rutger Bregman. International bestseller Rutger Bregman provides new perspective on the past 200,000 years of human history, setting out to prove that we are hardwired for kindness, geared toward cooperation rather than competition, and more inclined to trust rather than distrust one another. If we believe in the reality of humanity's kindness and altruism, it will form the foundation for achieving true change in society.
From legal to IOT
Pekka predicts a break-through of AI in tax & legal business as soon as translation engines are ready to take away language barriers, and we are not far from that already. For those who have not tried yet Pekka suggests to play with ChatGPT AI engine. For example, if one ask this GPT to come up with some caluses for a share purchase agreement, it comes up with a solid text.
Using the AI voice commands
As the next step Pekka predicts a better quality development of the voice commands. Thus, for example people might not always need to go to see a lawyer for more straight forward advice, but rather just talk to the AI engine. Pekka also painted a picture where each party of an agreement first talks to their AI engines and ask to draft the first version of the desired contract.
At the end of the podcast enjoy the Silent Night jazz/blues guitar version by Pekka!

Simon is ranked consistently among the leading individuals for tax litigation by the Legal 500 and Chambers & Partners. He is a founding partner at Joseph Hage Aaronson, established 10 years ago. JHA is a boutique dispute resolution firm which specialises in tax litigation. JHA tax litigation practice is ranked in Tier One of Legal 500 and Chambers UK, for every year since the firm was established. Previously Simon was Partner at Dorsey & Whitney (10 years). Before that was a partner at PwC Legal. Besides the law degree Simon has a PhD at Sydney University.
Cicero
“Laws are silent in time of war,” said Cicero. We can see that even in times of peace by Russia regarding the international law. We discussed if the fundamentals of the rule of law at its crossroads. We also discussed a story related to tax of Catiline who rebelled against Cicero and the Senate.
Books
One of my favourite books regarding the ancient Rome is Quo Vadisby Henryk SienkiewiczI recommended Simon. The Polish author got the Nobel Prize in literature for it back in 1905. Whereas Simon recommended All the King’s Men by Robert Penn Warren – the book got Pulitzer prize. The book is about a lawyer who begins his political career as an idealistic man of the people, but he soon becomes corrupted by success and the lust for power. Also Simon recommends The Truth of the Matter by Gough Whitlam on the Australian constitutional crisis and relations with the UK.
Principles
One of the issues that often amuses Simon is how politicians just look at one part of the formula – the rates, whereas the base is equally important. Then we also discussed fairness of proportionality of income tax. Simon also thinks that employers social contribution is basically just more of an income tax. Simon recalled that most probably Machiavelli said that at the beginning of the Empire the tax rates are low, but the take is high, whereas at the end the tax rates are high, but the take is low.
Tax litigation
Simon says that within their tax litigation department the best ideas come from internal discussions within the team. Also he tries to have a system where all internal messages are done by calls, not e-mails. Also virtual court hearings and e-files are great features of the lock-down. As to the fees the UK tax litigation market is quite flexible – law firms can have success fees, can take a % of the damage (but there are limitations) and no charge if the case is lost, or one can charge a little bit if you loose and a lot if you win, etc.
Tax planning is fine
In the context of several interesting CJEU tax cases Simon told about he concluded that legitimate tax planning within the EU market is fine in order to do the business as cheaply as possible, that also includes tax.

The art of LinkedIn posts
Probably what makes Leonard even more unusual and interesting to follow is that he has a degree in philosophy and one in history. And one can feel that his posts on LinkedIn are stand out, like small pieces of art, linked to music, languages, travels, etc. For example, he made playlists on Spotify on BEPS, on DAC6, on taxation of the digital economy.
Two rules of Dutch CIT
Leonard likes the Dutch tax code, because it’s short. Basically, the CIT system boils down to two main rules. First, all profits coming from a business should be taxed. Second, you should follow the best market practice on allocating two different years. Because of those simple rules the whole infrastructure grew around that, starting from WWII. Lately the situation has changed there where an opinion of a tax advisor is potentially suspicious of a tax avoidance.
The importance of being fully present
Mindfulness is the recipe Leonard suggests to combine both being good at work and at home for the family. People have different ways of achieving that. Leonard tried meditation, but he realised it was not for him. Leonard also generously shared his feelings how one may look for inner peace or paradise as was suggested in the epic movie the Beach. He beautifully says that it’s like walking in a forest and suddenly finding an open place within it. At the end of the chat Leonard relates the same importance of being present in relation to meaning of life – when life happens, are you around or just making plans or doing something else that is not that important?
Good for advisors, but not for the society
The global tax changes just make things more complex, but not necessarily better. Especially Leonard is worried about the new EU initiative to tackle enablers of aggressive tax avoidance, because the borders of avoidance etc definitions are not well defined. For example, many clients are asking for advice of not being tax registered in some country, so tax advisors then explain dos and don’ts to make sure the unintended consequences do not happen. Is that avoidance? All that the tax advisors there do is just help navigating difficult mine-field, but someone may claim that the advice helps avoiding to pay tax in country X. What is acceptable tax planning?
PE because of having a phone in your pocket?
Nobody is claiming this yet, but what’s the difference now between a fixed place of business (one of the criteria for having a permanent establishment) by having a desk and PC or just a phone instead? It might be fixed, if it stays in the same geographic area. The PE concept has been around for more than 100 years, but Leonard cannot think of any immediate killer argument against this thought.
Holding companies may need to restructure
The main question here is – which country here is entitled to the withholding taxes. No withholding taxes (Estonian and Latvian CIT model) does not seem like a solution. The tax treaty system that allows different withholding tax rates better needs to be reformed e.g. by adjusting the rates, rather than imposing new anti-avoidance rules upon the old ones. Some withholding taxes are paid just because of too heavy compliance burden for claiming the exemption.

Jāmēģina glābt to visu
Valsts atpaliek.
Tomēr ap ~1/2 no biznesa bankrotē.
