नमस्कार। फैक्टोरियल के एक और एपिसोड के साथ हम आपके समक्ष हाजिर है। आज बातें कैसे टीवी चैनल के करेंगे जो हमेशा सरकार की आलोचना करता है और उससे कठिन सवाल पूछता रहता है। कुछ दिन पहले ही एक पूंजीपति ने इसको खरीदने की कोशिश की है या खरीद लिया है। तो आइए इस वीडियो में जानते हैं कब कैसे और क्या हुआ है इस टीवी चैनल के साथ।

एशिया के सबसे रईस शख़्स गौतम अडानी के नियंत्रण वाले अडानी ग्रुप ने मीडिया कंपनी एनडीटीवी में अप्रत्यक्ष रूप से 29.18 फ़ीसदी हिस्सा ख़रीद लिया है.

कंपनी ने बॉम्बे स्टॉक एक्सचेंज यानी बीएसई और नेशनल स्टॉक एक्सचेंज़, एनएसई को बताया है कि वह एनडीटीवी में 26 फ़ीसदी और हिस्सेदारी ख़रीदने के लिए ओपन ऑफ़र भी लाएगी. यानी कुल मिलाकर अडानी समूह का इरादा एनडीटीवी में मालिकाना हिस्सेदारी हासिल करने का है. अगर अडानी का ओपन ऑफ़र कामयाब रहा तो एनडीटीवी में उसकी कुल हिस्सेदारी 55 फ़ीसदी से अधिक हो जाएगी.

हालाँकि एनडीटीवी प्रबंधन ने अडानी समूह के इस क़दम पर हैरानी जताई है और कहा है कि उसे इस डील के बारे में कुछ भी पता नहीं था.

कैसे हुई अडानी की एंट्री?

अडानी ने जिस तरह से एक अनजान सी कंपनी के ज़रिये एनडीटीवी में हिस्सा ख़रीदा उसे जानकार 'होस्टाइल टेकओवर' यानी प्रबंधन की इच्छा के विरुद्ध कंपनी पर क़ब्ज़े की कोशिश मान रहे हैं.

दरअसल, मंगलवार को अडानी ग्रुप ने एक्सचेंज को बताया कि उसने विश्वप्रधान कॉमर्शियल प्राइवेट लिमिटेड यानी वीसीपीएल को ख़रीद लिया है. अडानी ने 100 फ़ीसदी हिस्सा तक़रीबन 114 करोड़ रुपये में ख़रीदा.

एनडीटीवी ने शेयर क्यों रखे गिरवी?

दरअसल, प्रणॉय रॉय और उनकी पत्नी राधिका रॉय एनडीटीवी के संस्थापक और प्रोमोटर्स हैं. साल 2008-09 में उन्होंने आरआरपीआर (राधिका रॉय प्रणॉय रॉय) होल्डिंग्स प्राइवेट लिमिटेड के ज़रिये वीसीपीएल से क़र्ज़ लिया था.

इस क़र्ज़ के बदले वीसीपीएल को 29.18 फ़ीसदी रेहन में दिए गए थे. साथ ही ये विकल्प भी दिया गया था कि क़र्ज़ न चुका पाने की स्थिति में वे इन वाउचर्स का 99.5 फ़ीसदी हिस्सा इक्विटी में बदल सकते हैं.

ये क़र्ज़ 10 साल के लिए लिया गया था और इसकी अवधि 2019 में ख़त्म हो गई थी. लेकिन आरआरपीआर ने लिया गया क़र्ज़ नहीं चुकाया था.

अडानी का मालिकाना हक़ पाने का इरादा

वीसीपीएल के ज़रिये एनडीटीवी में 29 फ़ीसदी से अधिक हिस्सा लेने के बाद गौतम अडानी ने ये बताने में जरा भी देर नहीं की कि वो एनडीटीवी में मालिकाना हक हासिल करने का इरादा रखते हैं. एक्सचेंज को दी गई जानकारी के मुताबिक़, अडानी समूह एनडीटीवी में 26 फ़ीसदी हिस्सेदारी और ख़रीदेगा. यानी कुल मिलाकर उसका लक्ष्य एनडीटीवी में 55 फ़ीसदी हिस्सा ख़रीदना है.

अडानी समूह ये 26 फ़ीसदी अतिरिक्त हिस्सेदारी ओपन ऑफ़र के ज़रिये खरीदेगा. समूह की तीन कंपनियां एएमएनएल और अडानी एंटरप्राइजेज़ लिमिटेड ओपन ऑफ़र में हिस्सा ख़रीदेंगी. ये ओपन ऑफ़र 294 रुपये प्रति शेयर के भाव पर होगा, जो कि शेयर की मौजूदा क़ीमत से क़रीब 20 फ़ीसदी कम है.

मंगलवार को एनडीटीवी का शेयर 366 रुपये पर बंद हुआ था. यानी 26 फ़ीसदी की अतिरिक्त हिस्सेदारी ख़रीदने के लिए अडानी समूह 493 करोड़ रुपये ख़र्च करेगा.

क्या होता है ओपन ऑफ़र?

शेयर बाज़ार की नियामक संस्था सेबी के नियमों के मुताबिक़, देश में लिस्टेड किसी भी कंपनी जिसके पास 25 फ़ीसदी या उससे ज़्यादा शेयर हैं उसे और हिस्सेदारी ख़रीदने के लिए ओपन ऑफ़र लाना अनिवार्य होता है जिससे कंपनी के माइनॉरिटी शेयर होल्डर पहले से तय क़ीमत पर अपने शेयर अपनी मर्ज़ी से नए निवेशक को बेच सकें.

एनडीटीवी की क्या है आपत्ति?

एनडीटीवी ने एक्सचेंज को बताया कि वीसीपीएल ने इस संबंध में उसे कोई जानकारी नहीं दी.

एनडीटीवी ने बताया, "एनडीटीवी के संस्थापक और कंपनी ये स्पष्ट कर देना चाहते हैं कि वीसीपीएल ने क़र्ज़ को इक्विटी में बदलने के अधिकार का इस्तेमाल हमसे बातचीत और हमारी सहमति के बिना लिया गया है. हमें इस क़दम की जानकारी आज ही मिली है. हमने कल ही एक्सचेंज को बताया था कि संस्थापकों की हिस्सेदारी में कोई बदलाव नहीं है."

कंपनी का यह भी कहना है कि वो आगे की प्रक्रिया पर जानकारी जुटा रही है और उसमें क़ानूनी या रेगुलेटरी विकल्प भी शामिल हो सकते हैं.

अब किसके पास कितनी हिस्सेदारी?

एनडीटीवी के प्रमोटर्स प्रणॉय रॉय के नाम कंपनी में 15.94 फ़ीसदी हिस्सेदारी है, जबकि उनकी पत्नी और राधिका रॉय का कंपनी में 16.32 फ़ीसदी हिस्सा है. प्रणॉय और राधिका ही आरआरपीआर के प्रोमोटर्स थे, इस कंपनी के पास एनडीटीवी के 29.18 फ़ीसदी शेयर थे.

रीटेल निवेशकों के पास कंपनी के 12.57 फ़ीसदी शेयर है
