4 Rules for Establishing a Tax-Free LLC in the USA Here are 4 rules for establishing your own tax-free limited liability company (or “LLC”) in the United States, according to US accountants and tax advisors with whom I work closely: 1. Your entity must be classified as a single-member LLC with only one owner; 2. The owner of your LLC must be a non-resident alien (or foreigner) A non-resident alien owner cannot be a US citizen or a permanent resident and cannot have stayed in the US long enough to pass the substantial presence test. 3. Your LLC must offer a service, not products, and you must offer those services to Americans from outside of the United States And by the way, if your business involves products stored or delivered via Amazon, your LLC likely will not qualify for tax-free status. 4. Your LLC must have no physical presence or economic substance in the United States. Physical presence is generally defined as having a physical office, employees, or a dependent agent (Ie, someone who performs non-administrative services for your business only) in the United States The foregoing rules relate to taxes in the United States only. 7 STEPS TO YOUR E2 VISA IN 2023 Here are 7 steps to your E2 investor visa in 2023: Step 6 is the trickiest. So. wait for it. Step 1: Determine If You Qualify To qualify for an E2 visa as an investor, you must be a national of an eligible E2 treaty country. There are about 80 treaty countries now, including Canada, Colombia, the UK, Japan, and many more. Step 2: Register Your US Company Next you'll need a US company as the investment vehicle for your E2 enterprise. Some E2 visa applicants invest in a franchise or buy an existing business, but most of my E2 visa clients start their own business in the U.S. And it needs to be registered. Step 3: Get an EIN Once your new US company is established, you'll need to apply to the US Internal Revenue Service (or IRS) for an Employer ID Number (or EIN). It's a separate US tax ID number for your company, and you’ll need one. Step 4: Open a Business Bank Account Once your business has an EIN, it’s time to open a business bank account. Which US bank is your best option depends on many factors. Choose wisely. Step 5: Transfer Your Investment Funds Next, it’s time to transfer funds from your personal bank account abroad to your new business bank account in the US. It’s important that the funds come from you - the E2 Visa applicant - not from someone else. Step 6: invest a Substantial Amount Now, you’ll need to invest a substantial amount of money on whatever your U.S. business needs to open and become successful. What’s a substantial amount? The law doesn’t specify a number, but US consular officials typically expect to see an investment of at least $100,000 in your new U.S. business. And your investment funds must be "at risk” - that is. spent - not just safely sitting in a bank account. Your U.S. business must also be open or ready to open before you apply for an E2 visa. 3 US VISAS THAT MAY BE YOUR SOUND OF FREEDOM Here are three U.S. visas that relate to a new movie about human trafficking called "The Sound of Freedom," which is in U.S. theaters now. Incidently, I saw the movie last night and highly recommend that you see it too because we need to do more to stop pedophiles from victimizing God’s children anywhere it happens. Okay... the 3 most relevant visas are as follows: 1. The T Visa The T non-immigrant visa that provides immigration protection to victims of human trafficking who are willing to assist law enforcement in investigating and prosecuting trafficking crimes. Under federal law, a “severe form of trafficking in persons” can involve sex trafficking (as in the movie) or labor trafficking 2. The U Visa The U nonimmigrant visa provides immigration benefits to victims of certain crimes who have suffered substantial physical or mental abuse and are helpful to law enforcement in the investigation or prosecution of those crimes. The list of qualifying crimiinal activities is long and includes, among other things, human trafficking, domestic abuse, sexual exploitation, and rape. 3. The Violence Against Women Act (or "VAWA") VAWA allows victims of domestic violence or spousal abuse to “self-petition” to obtain a green card without the cooperation of the U.S. citizen or permanent resident relative who is abusing them. GREAT NEWS ABOUT YOUR E2 VISA Here’s some great news for those of you who are interested in applying for or renewing an E2 investor visa. The U.S. Department of State has updated its Foreign Affairs Manual to provide as follows: Once a U.S. consulate or embassy has determined that you invested a “substantial” sum in your new U.S. business and granted you an E2 visa, you don't need to meet the investment-substantiality test AGAIN when it's time to renew. That's gonna make it a lot easier to renew your E2 visa because you don't have to worry about some U.S. consular official deciding to revisit the issue of whether the investment in your US business really was or is high enough. Once they decide that you’ve made a substantial investment in your E2 enterprise, that’s it. It stays that way for purposes of E2 visa renewal. There's one exception, but it won't affect most of you. If there's been in a change in the ownership of your E2 business through an acquisition or something, the new owner will need to meet the investment substantiality test in order for the business to remain an approved E-2 enterprise.
