Dan is the Managing Director of ATX Acquisitions and CEO at ResProp Management, with an impressive track record of managing over $2 billion in assets and operating 15,000 apartment units.

Throughout the episode, Dan shared his journey in real estate, starting at the age of 25 with small deals and growing into a significant player in the industry. He candidly discussed the challenges he and his business partner, Pete Rex, faced during the 2008 financial crisis, including being overleveraged and having insufficient capital reserves. Tyler shared a game-changing LinkedIn life hack for lead generation and relationship building. He advised adding 20 new connections daily, reaching out to them, and offering help without expecting anything in return. He also recommended using Dripify to automate this process.

For instance, full-time W-2 employees are unlikely to qualify as real estate professionals since more than 50% of their activities must be in real estate. Kelsey also highlighted the importance of documenting hours meticulously to meet the IRS's criteria.

We delved into strategies for restructuring employment to meet the qualifications, such as transitioning from W-2 to 1099 and reducing work hours. Kelsey also touched on the potential for spouses to qualify, thereby extending the benefits to both partners.

• Passive Loss Limitations: Kelsey clarified a common misconception among new investors regarding passive losses. The IRS allows the collection of passive income without concern, but passive losses can only be deducted against passive income, not active income like wages from a job.

However, Kelsey pointed out that unless you have other passive income, these losses don't provide an immediate tax benefit. • Investment Timing and Strategy: Kelsey suggested that investors might need to be more strategic with their investment timing, especially with the phase-down of bonus depreciation from 100% in 2022 to 80% in 2023 and further reducing in subsequent years.

This episode shed light on the intricacies of passive investment taxation, emphasizing the importance of understanding the IRS rules and planning accordingly. Kelsey's expertise highlighted the need for investors to manage their expectations regarding immediate tax benefits and to consider their long-term investment strategy for optimizing tax advantages.

We discuss the common confusion that arises during the sale year when LPs see a large amount of income reported on their K-1s. Kelsey clarifies that receiving cash from a sale does result in income because it's tied to the gain from the property sale.

Another concern for investors is the timing of filing their tax returns, especially if they're waiting on their K-1s. Kelsey reassures  listeners that filing a few weeks after the April 15th deadline is not an issue from an IRS standpoint and that there's no correlation between late filing and increased audit risk.

Larry's niche is the West side of Los Angeles, which he believes is the best location for real estate investment due to its high concentration of wealth, desirable weather, and limited supply of available land. He explained that properties in this area rarely come to market unless there is an event such as a death, divorce, or bankruptcy. Larry also highlighted the benefits of owning real estate in terms of tax advantages and the pride of ownership.

When it comes to his business model, Larry focuses on long-term investments and forming private equity real estate companies that own portfolios of properties. He discussed the advantages of leveraging properties and building relationships with lenders. He also shared his surprising experience with his non-levered private equity company, which received less interest from investors compared to the traditional levered company.

In terms of the current market conditions, Larry acknowledged the impact of rising interest rates and limited availability of debt. However, he mentioned that there are still opportunities to buy properties at a slight discount. He advised investors to never borrow more than they can afford to pay back and to develop strong relationships with banks.

He emphasizes the importance of selecting the right tenants and managing property taxes and insurance. 


The conversation then shifts to office conversions, with Kenny explaining the process of transforming vacant office buildings into multifamily spaces. He discusses the challenges of plumbing and maximizing space within the existing floor plan. Kenny also mentions the benefits of historic office conversions, including grant money from the federal and state governments.
